1. About These Terms

These Terms of Service (“Terms”) govern your access to and use of the Framebaker platform and related services.

Framebaker provides a digital signage platform that may include, depending on your plan or order:

  • cloud-based software for content management, screen management, scheduling, monitoring, and related administration;
  • downloadable or browser-based player software and trial environments;
  • optional integrations, APIs, templates, and AI-powered features;
  • optional hardware, hardware bundles, or pre-imaged devices; and
  • related support, onboarding, updates, and documentation.

By creating an account, placing an order, starting a trial, or otherwise using the Service, you agree to these Terms.

If you use the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, “you” and “Customer” mean that entity.

2. Definitions

For these Terms:

  • “Framebaker”, “we”, “us”, or “our” means Framebaker, The Netherlands.
  • “Service” means the Framebaker digital signage software platform and related services made available by us, including the CMS, scheduling, monitoring, downloadable players, browser trials, APIs, integrations, AI features, support, and associated websites or dashboards.
  • “Software” means any player software, browser-based runtime, application, API, SDK, template tooling, or other software we make available.
  • “Hardware” means any device, accessory, or hardware bundle sold, shipped, or otherwise provided by Framebaker.
  • “Customer Content” means content, media, data, text, images, videos, templates, screen configurations, schedules, prompts, and other materials that you upload, submit, connect, or make available through the Service.
  • “Output” means content, suggestions, schedules, layouts, configurations, or other results generated by AI-powered or automated features of the Service.
  • “Subscription” means the recurring plan, trial, paid account, usage package, or enterprise arrangement under which you access the Service.
  • “Order” means an online checkout, accepted quote, invoice, subscription selection, or other ordering document covering Software, Hardware, or related services.

3. Eligibility and Accounts

You must provide accurate, complete, and current information when creating an account or placing an Order.

You are responsible for:

  • maintaining the confidentiality of your login credentials;
  • all activities that occur under your account; and
  • ensuring that only authorised users access your account.

You must promptly notify us if you believe your account or credentials have been compromised.

You may not use the Service if you are prohibited from doing so under applicable law.

4. The Service

Framebaker offers a product-led digital signage platform designed to let customers try, deploy, manage, monitor, and scale screens with low friction. The Service may include self-service signup, browser-based trials, downloadable players for supported operating systems, screen management, content scheduling, uptime visibility, AI-assisted tooling, and optional hardware bundles.

We may improve, change, replace, suspend, or discontinue parts of the Service from time to time, including features, integrations, hardware options, supported devices, or technical requirements.

Some features may be marked as beta, preview, early access, or similar. Those features may be changed more frequently and may be subject to additional limitations.

5. Orders, Subscriptions, and Billing

5.1 Subscriptions

Access to the Service may be provided on a recurring per-screen basis, under usage-based pricing, as a fixed package, or under a separate enterprise arrangement.

Your plan, pricing, included features, support level, and technical limits are those shown at checkout, in your account, or in an applicable Order.

5.2 Billing

You authorise Framebaker to charge the payment method you provide for all applicable fees, including recurring subscription fees, usage fees, add-ons, taxes, shipping charges, or other agreed amounts.

Unless otherwise stated:

  • subscriptions renew automatically for successive billing periods;
  • fees are charged in advance for the applicable billing period; and
  • usage-based charges may be billed in arrears.

5.3 Taxes

Fees are exclusive of VAT, sales tax, use tax, withholding tax, duties, and similar governmental charges, unless stated otherwise. You are responsible for all applicable taxes except taxes based on our net income.

5.4 Late Payment

If payment is overdue, we may suspend access to the Service, disable features, withhold support, cancel pending shipments, or terminate the applicable Subscription or Order after notice where appropriate.

5.5 Refunds

Fees are non-refundable except where required by applicable law or where we expressly agree otherwise in writing.

6. Trials and Free Access

We may offer free trials, evaluation access, or limited free use of the Service, including browser-based trials or downloadable player trials.

Trial or free access may be subject to feature restrictions, capacity limits, shortened retention periods, or other conditions. We may modify or end trial access at any time.

Unless we explicitly state otherwise, trial access is provided “as is” without any service level commitment.

7. Hardware Terms

If you purchase Hardware from Framebaker:

  • risk of loss and title transfer at the point stated in your Order or, if not stated, upon delivery;
  • delivery dates are estimates unless expressly agreed otherwise;
  • you are responsible for verifying compatibility of your environment, screens, peripherals, network, and installation setup;
  • Hardware may be subject to separate warranty terms from the manufacturer or from Framebaker if expressly provided; and
  • returns, replacements, DOA handling, and shipping conditions may be subject to a separate hardware or RMA policy.

Unless explicitly included, on-site installation, cabling, mounting, electrical work, and local configuration are not part of the Service.

8. Customer Content

You retain ownership of your Customer Content.

You grant Framebaker a limited, non-exclusive, worldwide licence to host, copy, transmit, process, display, transform, and otherwise use your Customer Content only as necessary to:

  • provide, operate, secure, and improve the Service;
  • sync content to authorised players and devices;
  • generate layouts, schedules, previews, and Output you request;
  • provide support and troubleshooting at your request; and
  • comply with legal obligations.

You represent and warrant that you have all rights, permissions, and legal bases necessary for us to use Customer Content as described in these Terms.

9. AI Features and Generated Output

Some parts of the Service may use AI or automated systems to help with scheduling, content generation, anomaly detection, performance insights, configuration, or related workflows.

AI-generated or automated Output may be incomplete, inaccurate, unsuitable, or unavailable for your particular use case. You are responsible for reviewing Output before publishing, deploying, or relying on it.

You may not use AI features in a way that violates law, infringes the rights of others, or submits sensitive or regulated data unless the Service expressly supports that use and you have an appropriate agreement with us in place.

We may use prompts, usage telemetry, and operational data to provide and improve AI-enabled functionality, subject to our Privacy Policy and any applicable data processing terms.

10. Acceptable Use

You may use the Service only in compliance with applicable law and these Terms.

You may not, and may not permit others to:

  • use the Service for unlawful, harmful, fraudulent, or deceptive purposes;
  • upload, publish, distribute, or display content that is illegal, infringing, defamatory, hateful, discriminatory, or otherwise unlawful;
  • use the Service to send malware, malicious code, or unauthorised commands to devices or systems;
  • interfere with, disrupt, probe, or attempt to gain unauthorised access to the Service, its infrastructure, or other users’ accounts;
  • bypass technical limitations, seat limits, screen limits, plan restrictions, or security controls;
  • reverse engineer, decompile, copy, or create derivative works of the Service except where such restriction is prohibited by law;
  • use the Service to manage or display content on screens, devices, networks, or locations for which you lack authority;
  • misuse trials, create fake accounts, or use the Service to benchmark or replicate the platform for a competing commercial offering; or
  • resell, sublicense, or operate the Service as a managed service for third parties unless your plan or written agreement expressly allows it.

We may investigate violations and suspend or terminate access where reasonably necessary to protect the Service, our customers, or third parties.

11. Fair Use and Technical Limits

To preserve platform stability, security, and performance for all customers, we may apply reasonable technical, commercial, or operational limits to use of the Service.

This may include limits relating to:

  • number of screens, users, players, or workspaces;
  • storage, bandwidth, rendering, or API usage;
  • frequency of content sync, scheduling actions, or remote operations;
  • trial environments or evaluation use; and
  • use of AI, automation, or intensive background processing.

Where feasible, we will seek to notify you before applying material restrictions or requiring an upgrade.

12. Third-Party Services and Integrations

The Service may interoperate with third-party services, feeds, data sources, identity providers, devices, or integrations, including office, news, weather, or other connected services.

Your use of third-party services is governed by the terms and privacy policies of those third parties. Framebaker is not responsible for third-party services, data accuracy, service interruptions, or changes in third-party APIs, feeds, pricing, or availability.

13. Availability, Support, and Updates

We aim to provide a reliable platform, but we do not guarantee that the Service will be uninterrupted, error-free, or available at all times.

Maintenance, upgrades, connectivity issues, third-party failures, hardware issues, and unforeseen outages may affect availability. Separate service levels or support commitments apply only if expressly agreed in writing, such as in an enterprise agreement or SLA.

We may deploy patches, updates, fixes, and upgrades to the Service or Software, including OTA or remote updates for supported player environments and devices where applicable.

14. Privacy and Data Protection

Framebaker processes personal data in accordance with its:

If and to the extent required by applicable data protection law, the parties may enter into a Data Processing Agreement (“DPA”).

You are responsible for ensuring that your use of the Service, including the content you upload and any personal data you process through it, complies with applicable privacy and data protection laws.

15. Intellectual Property

The Service, Software, website, documentation, templates, branding, visual design, and all related intellectual property rights are owned by Framebaker or its licensors.

Except for the limited rights expressly granted in these Terms, no rights are granted to you.

Feedback you provide may be used by us without restriction or compensation, provided we do not identify you publicly without your permission.

16. Confidentiality

If either party receives non-public confidential information from the other party in connection with the Service, that party will use the information only as needed to perform under these Terms and will protect it using reasonable care.

This section does not apply to information that:

  • is or becomes public without breach of these Terms;
  • was already lawfully known to the receiving party;
  • is lawfully received from a third party without confidentiality obligation; or
  • is independently developed without use of the confidential information.

17. Suspension and Termination

You may stop using the Service at any time. You may cancel your Subscription through your account or by contacting us, subject to any minimum commitment period in your Order.

We may suspend or terminate your access, in whole or in part, immediately or on notice, if:

  • you breach these Terms;
  • you fail to pay amounts due;
  • your use poses a security, legal, or operational risk;
  • we are required to do so by law; or
  • continuing to provide the Service to you is no longer commercially or technically feasible.

Upon termination:

  • your right to access and use the Service ends;
  • players, integrations, and related functionality may stop working;
  • we may delete or anonymise Customer Content after a reasonable retention period, unless we are legally required to retain it; and
  • accrued payment obligations remain due.

18. Disclaimers

Except to the extent prohibited by law, the Service, Software, Hardware, Output, documentation, and all related components are provided on an “as is” and “as available” basis.

Framebaker disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that:

  • the Service will meet all of your requirements;
  • playback will be uninterrupted in every environment;
  • all content will render identically across all screens, devices, operating systems, or network conditions;
  • AI features or Output will be accurate or suitable for your needs; or
  • third-party integrations or data feeds will remain available.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Framebaker will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings.

To the maximum extent permitted by applicable law, Framebaker’s aggregate liability arising out of or relating to the Service, Software, Hardware, or these Terms will not exceed the total fees paid or payable by you to Framebaker under the applicable Order or Subscription during the 12 months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, wilful misconduct, fraud, death, or personal injury to the extent such limitation is prohibited.

20. Indemnity

You agree to indemnify and hold harmless Framebaker, its directors, officers, employees, and affiliates from and against claims, damages, liabilities, costs, and expenses arising out of or related to:

  • your Customer Content;
  • your misuse of the Service;
  • your breach of these Terms; or
  • your violation of applicable law or third-party rights.

21. Changes to the Service or Terms

We may update these Terms from time to time.

If we make a material change, we will post the updated Terms on our website and may also notify you by email, through the platform, or by other reasonable means. The updated Terms become effective on the stated effective date.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of those updated Terms.

22. Governing Law and Jurisdiction

These Terms are governed by the laws of the Netherlands, excluding conflict of law rules.

Any dispute arising out of or in connection with these Terms shall be submitted to the competent court in the Netherlands, unless mandatory law provides otherwise.

23. General

  • These Terms, together with any applicable Order, DPA, SLA, or other written agreement, form the entire agreement between you and Framebaker regarding the Service.
  • If any provision is held unenforceable, the remaining provisions will remain in effect.
  • Our failure to enforce a provision is not a waiver.
  • You may not assign these Terms without our prior written consent, except in connection with a merger, acquisition, or sale of substantially all of your assets. We may assign these Terms to an affiliate or in connection with a reorganisation, merger, acquisition, or sale of assets.
  • Nothing in these Terms creates a partnership, agency, or employment relationship between the parties.
  • Force majeure events may affect performance. Neither party is liable for delay or failure caused by events beyond its reasonable control.
